GraphOn's remarkable growth and continued leadership in the Web-enabling, server-based computing industry has been guided by experienced technology pioneers and industry leaders. Below you will find a brief description of GraphOn’s Board of Directors and executive management team.

Robert Dilworth, Chairman of the Board and Chief Executive Officer

As Chairman of the Board and Chief Executive Officer, Bob Dilworth is actively involved in leading and building GraphOn with particular focus on technological developments, policy initiatives and strategic investments that are driving the global expansion of the Internet infrastructure marketplace. Mr. Dilworth’s extensive background and leadership in technology have greatly benefited GraphOn. Formerly the Chief Executive Officer and Chairman of the Board at Metricom, Inc., a leading provider of wireless data and network solutions, Mr. Dilworth's experience includes senior executive positions at Zenith Data Systems, Morrow Designs, Ultramagnetics, Varian Associates and Sperry Univac. As Chairman of the Board and Chief Executive Officer, Mr. Dilworth has focused on developing a mass market for business infrastructure and Web-enabling solutions in the ISV and OEM markets. As growth of the Internet continues to accelerate, Mr. Dilworth is committed to enhancing the patent portfolio and deriving value from it, and ensuring that GraphOn's Web-enabling technology delivers on its full promise by allowing ISVs to Web deploy applications without the need for complex reengineering, placing GraphOn on the forefront of back-end solutions.

Mr. Dilworth has served as one of GraphOn’s directors since 1998 and was appointed Chairman in December 1999. In January 2002, Mr. Dilworth was appointed Interim Chief Executive Officer and he was appointed full-time Chief Executive Officer in September 2006. Mr. Dilworth is currently a director of eOn Communications and Amber Communications. He previously served as director of Mobility Electronics, Get2Chip.com Inc., Sky Pipeline and Yummy Interactive.

August P. Klein, Director

August Klein has served as a GraphOn Director since 1998. Since 1995, Mr. Klein has been the founder, CEO and Chairman of the Board of JSK Corporation. Since 1997, he has served as the founder, CEO and Chairman of the Board of APJK Corporation, general contractors and service providers for the insurance industry. From 1989 to 1993, Mr. Klein was founder and CEO of Uniquest, Inc., an object-oriented software company. From 1984 to 1988, he served as CEO of Masscomp, Inc., a developer of high-performance systems and UNIX-based applications. Mr. Klein has served as Group Vice President, Serial Printers at Data Products Corporation and President and CEO at Integral Data Systems, a manufacturer of personal computer printers. From 1957 to 1982, he was General Manager of the Retail Distribution Business Unit and Director of Systems Marketing at IBM. Mr. Klein is a director of QuickSite Corporation and serves as a trustee of the Computer Museum in Boston, Massachusetts.

Michael Volker, Director

Mike Volker has served as a GraphOn Director since 2001. Since 1996, Mr. Volker has been Director of Simon Fraser University's Industry Liaison Office. Mr. Volker is also Chief Executive Officer of WUTIF Capital, an angel fund that invests in technology startup companies. From 1996 to 2001, Mr. Volker was Chairman of the Vancouver Enterprise Forum, a non-profit organization dedicated to the development of British Columbia's technology enterprises. From 1987 to 1996, Mr. Volker was Chief Executive Officer and Chairman of the Board of Directors of RDM Corporation, a developer of specialized hardware and software products for both Internet electronic commerce and paper payment processing. From 1988 to 1992, he was Executive Director of BC Advanced Systems Institute, a hi-tech research institute. Since 1982, Mr. Volker has been active in various early stage businesses as a founder, investor, director and officer.

Gordon Watson, Director

Gordon Watson has served as a GraphOn Director since 2002. Mr. Watson founded Watson Consulting, LLC, a consulting company for early stage technology companies, in 1997, and has served as its President since its inception. From 1996 to 1997, Mr. Watson served as Western Regional Director, Lotus Consulting of Lotus Development Corporation. From 1988 to 1996, Mr. Watson held various positions with Platinum Technology, Inc., most recently serving as Vice President Business Development, Distributed Solutions. Earlier positions include Senior Vice President of Sales for Local Data, Inc., President, Troy Division, Data Card Corporation, and Vice President and General Manager, Minicomputer Division, Computer Automation, Inc. Mr. Watson also held various executive and director level positions with TRW, Inc., Varian Data Machines, and Computer Usage Company. Mr. Watson is also a director of PATH Reliability, SoftwarePROSe, Inc., and Pound Hill Software.

William Swain, Chief Financial Officer and Secretary

Bill Swain has served as GraphOn’s Chief Financial Officer and Secretary since 2000. Mr. Swain was a consultant from 1998 until 2000, working with entrepreneurs in technology in connection with the start-up and financing of new business opportunities. Mr. Swain was Chief Financial Officer and Secretary of Metricom Inc. from 1988 until 1997, during which time he was instrumental in private financings, as well as Metricom's initial public offering and subsequent public financing activities. Mr. Swain continued as Senior Vice President of Administration with Metricom until 1998. Prior to joining Metricom, Mr. Swain held top financial positions with leading companies in the computer industry, including Morrow Designs, Varian Associates and Univac.
